Crypto finally got SEC clarity. Why didn’t the market care?

The U.S. Securities and Exchange Commission (SEC) and Commodity Futures Trading Commission (CFTC) have issued significant regulatory guidance that clarifies the treatment of crypto assets, a move that could reshape the industry. The agencies now distinguish more clearly between open crypto markets and tokenized traditional financial products, with most crypto assets no longer presumed to be securities. Despite this regulatory clarity, the market's muted reaction indicates a shift in trader sentiment, with a greater demand for durable legal certainty from Congress rather than agency interpretations alone.

Regulatory Shift and Industry Impact

For years, regulatory uncertainty has been a primary challenge for the U.S. crypto sector, impacting everything from valuations to business operations. The new guidance from the SEC and CFTC provides a clearer framework, with the SEC establishing a token taxonomy to categorize digital assets such as digital commodities, collectibles, tools, payment stablecoins, and securities. SEC Chairman Paul Atkins acknowledged that most crypto assets are not securities themselves, though they could fall under securities law if offered as part of an investment contract. The guidance also addresses staking, airdrops, mining, and wrapped assets, offering a more comprehensive map for the industry.

This clarity is expected to empower founders to structure launches with more confidence, reduce listing risks for exchanges by clarifying jurisdictional oversight, and potentially shrink the discount associated with U.S. regulatory uncertainty for investors. However, the lack of a significant market rally, with Bitcoin prices remaining tied to broader risk market forces, suggests that this regulatory goodwill is no longer sufficient on its own to drive sector rerating.

Market Focus Shifts to Congressional Action

The muted market response is partly attributed to broader economic concerns, including the energy crisis and inflation fears stemming from geopolitical conflicts, which have led institutions like Citi to cut price targets for Bitcoin and Ethereum. More critically, traders are now prioritizing durable legal certainty from Congress over agency interpretations. While regulatory guidance is helpful, the industry seeks statutory law from Congress to lock in jurisdictional lines and definitively classify tokens as commodities or securities. Such legislation could also grant the CFTC robust spot market oversight that outlasts a single administration.

The market's reaction underscores a transition from overcoming agency hostility to addressing the durability of the regulatory framework. A favorable interpretation from an agency can be challenged or replaced, whereas a law passed by Congress offers a more stable foundation for building and investment. The SEC itself framed its action as complementary to, rather than a substitute for, congressional efforts.

Tokenization and Wall Street's Role

An important development highlighted by the new guidance is its potential to accelerate tokenization in traditional finance (TradFi) more rapidly than in permissionless crypto markets. The SEC has reiterated that tokenized stocks and bonds are securities and recently approved Nasdaq's plan to trade and settle certain stocks and ETFs in tokenized form. This suggests a preference in Washington for integrating blockchain technology within existing, supervised market structures. Consequently, Wall Street firms may capture a significant portion of the upside from tokenization, as incumbents can more readily implement these solutions on existing blockchains. The market's subdued reaction, therefore, reflects an understanding that while regulatory clarity is a step forward, the next major market rerating hinges on legislative action from Congress to establish a durable framework that can withstand political and legal challenges.
